1. Introduction

These Terms govern your use of the MintPDF Service, including all pages within the Website and all software and content within the Desktop Application. By using the Service, you confirm that you are at least 18 years of age and legally capable of entering into binding contracts.

The Service is operated by Simy Dev Labs LLC, a limited liability company registered under the laws of Minnesota, United States (hereinafter referred to as "Simy Dev Labs," "We," "Us," or "Our"). MintPDF assists users in editing and managing PDF documents locally on their computers.

2. Proprietary Rights

All intellectual property rights in or related to the Service—including software code, user interfaces, logos, graphics, templates, and documentation—are owned by Simy Dev Labs LLC or its licensors. We grant you a limited, non-transferable, non-sublicensable, revocable license to use the Service solely for personal or internal business use, subject to these Terms.

You do not acquire any ownership rights in the Service or its underlying technology. If you submit ideas or feedback ("Feedback"), you automatically assign all rights to such Feedback to Simy Dev Labs LLC without compensation.

3. Restrictions

You are expressly prohibited from:

• Selling, sublicensing, or redistributing any part of the Service;
• Reverse-engineering, decompiling, or attempting to derive source code;
• Circumventing license verification or security features;
• Using the Service for unlawful, fraudulent, or malicious activities;
• Modifying or creating derivative works of the software;
• Sharing license keys or access credentials;
• Harvesting or collecting data from other users;
• Processing, creating, or distributing illegal, obscene, defamatory, or infringing content;
• Engaging in or facilitating any illegal activity;
• Violating export control laws or sanctions;
• Interfering with or disrupting servers, networks, or other users;
• Attempting to gain unauthorized access to any systems or data;
• Using the Service in any manner that could damage, disable, or impair the Service;
• Violating applicable laws or regulations in connection with the Service.

Violation of these restrictions may result in immediate termination of your account and license.

We reserve the right to monitor license activation patterns, device usage, and account activity to detect violations of these Terms, including but not limited to unauthorized sharing, automated abuse, or fraudulent use. Such monitoring is conducted to protect the integrity of the Service and other users.

4. Third-Party Beneficiaries

Certain third parties, including Stripe, Inc. (for payment processing) and Google LLC (for analytics), provide supporting services. By using MintPDF, you also agree to comply with their respective terms of service. Such third parties may be considered beneficiaries of relevant provisions within these Terms.

5. Third-Party Links and Content

The Service may contain links to or integrations with third-party websites, services, or content. Simy Dev Labs LLC does not control or endorse such third-party materials and is not responsible for their accuracy, legality, or availability. Your interaction with third parties is entirely at your own risk, and We disclaim all liability arising from such interactions.

6. Licenses, Payments, and Refund Policy

Licensing

MintPDF is licensed on a perpetual, per-device basis according to the number of licenses purchased. Each license key is unique and may only be used by the purchaser in accordance with the purchase terms. Licenses are non-transferable and non-shareable.

Payment Processing

All payments are processed securely through Stripe, Inc. Simy Dev Labs LLC does not collect or store any payment card details. All fees are denominated in U.S. dollars unless otherwise indicated.

We reserve the right to adjust pricing, introduce new fees, or modify license structures at any time with reasonable notice.

Refund Policy

Simy Dev Labs LLC offers a 30-day refund policy from the date of purchase. If You are dissatisfied with MintPDF for any reason, You may request a full refund within 30 calendar days of your original payment date.

To request a refund, contact support@MintPDF.app with your order details. Refunds are issued only to the original payment method. After 30 days, all sales are considered final and non-refundable, except as required by applicable law.

Refunds will not be granted for:

• Requests made beyond the 30-day window;
• Licenses that have been transferred, resold, or shared;
• Abuse of the refund policy (e.g., repeated refund requests for multiple purchases);
• Situations where license misuse, fraud, or deliberate software tampering is detected.

By completing your purchase, You acknowledge and agree that this 30-day refund policy constitutes the full extent of Your right to withdrawal or cancellation.

7. Your Account

To access certain features, You may be required to create an account. You agree to provide accurate information and maintain the confidentiality of your credentials. You are responsible for all activities under your account. If unauthorized access is suspected, contact support@MintPDF.app immediately.

We reserve the right to suspend or terminate any account that violates these Terms.

We reserve the right to immediately suspend or terminate accounts, without refund, if we detect:

• Use of stolen payment methods or fraudulent payment information;
• Multiple refund requests across different accounts or payment methods;
• Automated or bot-driven account creation;
• Sharing of account credentials or license keys;
• Chargeback abuse or payment disputes made in bad faith;
• Any other fraudulent or abusive behavior.

8. No Warranties

The Service is provided "as is" and "as available", without warranty of any kind. Simy Dev Labs LLC makes no express or implied representations or warranties, including but not limited to:

• Accuracy, completeness, or reliability of the Service;
• Fitness for a particular purpose;
• Compatibility with your system;
• Error-free or uninterrupted operation.

All PDF processing is performed locally on your device, and We make no guarantee as to the outcome, performance, or suitability of the Software for your needs.

You are solely responsible for any content you process, edit, or create using MintPDF. Simy Dev Labs LLC has no obligation to monitor, review, or verify user-generated content and disclaims all liability for any illegal, infringing, offensive, or harmful content processed through the Software. You agree not to use the Service to process, create, or distribute content that violates any law or third-party rights.

9. Limitation of Liability

To the fullest extent permitted by law, Simy Dev Labs LLC, its officers, directors, employees, contractors, affiliates, and licensors shall not be liable for any losses or damages, including but not limited to:

• Direct, indirect, incidental, special, punitive, or consequential damages;
• Data loss, corruption, or unauthorized access;
• Lost profits, business interruption, or reputational harm;
• Emotional distress or any other intangible losses;
• Hardware damage or software conflicts arising from installation or use.

By using the Service, you waive any and all legal claims against Simy Dev Labs LLC, whether in contract, tort, negligence, or otherwise. In any case, our total liability shall not exceed the total amount paid by You for the license.

You expressly agree that you use the Service at your own sole risk and that you will hold Simy Dev Labs LLC harmless from all consequences of such use.

10. Indemnification

You agree to indemnify, defend, and hold harmless Simy Dev Labs LLC, its affiliates, developers, and agents from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of:

• Your use or misuse of the Service;
• Violation of these Terms or applicable laws;
• Any third-party claim arising from your conduct or content.

11. Modification and Termination

Simy Dev Labs LLC reserves the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice. We are not liable for any loss or inconvenience caused by such modification or termination.

You may terminate your account at any time by discontinuing use and contacting support@MintPDF.app.

The following sections shall survive termination of this Agreement: Proprietary Rights (Section 2), Restrictions (Section 3), No Warranties (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), Governing Law and Jurisdiction (Section 16), and any payment obligations incurred prior to termination.

12. Variation of Terms

Simy Dev Labs LLC may revise these Terms at any time without prior notice. By continuing to use the Service after revisions, you acknowledge and agree to the updated Terms. You are encouraged to review this document periodically.

13. Waiver

Failure by Simy Dev Labs LLC to enforce any provision of these Terms shall not constitute a waiver of such provision or any other right.

14. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

15. Assignment

Simy Dev Labs LLC may assign or transfer its rights or obligations under these Terms without notice. You may not assign or transfer your rights or obligations without our written consent.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict-of-law principles.

Arbitration Agreement

All disputes, claims, or controversies arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Minnesota, United States. You agree to waive your right to a jury trial and agree not to participate in any class action or class-wide arbitration. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

17. Force Majeure

Simy Dev Labs LLC shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, power outages, or third-party service disruptions.

18. Digital Millennium Copyright Act (DMCA)

We respect intellectual property rights. If you believe content processed through our Service infringes your copyright, contact support@MintPDF.app with:

• Identification of the copyrighted work claimed to be infringed;
• Identification of the material that is claimed to be infringing;
• Your contact information (address, telephone number, and email);
• A statement that you have a good faith belief that use of the material is not authorized;
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

19. Beta and Preview Features

We may offer beta, preview, or experimental features marked as such. These features are provided for testing purposes only, without any warranty, and may be changed, discontinued, or removed at any time without notice. Use of beta features is entirely at your own risk and subject to additional terms we may provide.
